    1. Introduction:

      • This document outlines the terms and conditions governing the use www.edgeiot.online, an IoT platform providing MQTT broker services .
      • By accessing or using the Platform, you agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use the Platform.

    2. Platform Services:

      • The Platform provides MQTT broker services, enabling users to connect IoT devices and applications for data exchange and data storing collected from IOTs customers for monitoring and analysis of customers’ needs
      • www.edgeiot.online reserves the right to modify, suspend, or discontinue any or all aspects of the Platform at any time without notice.

    3. User Responsibilities: 

      • www.edgeiot.online are responsible for maintaining the security and confidentiality of your account credentials and data privacy.

      • Customers agree not to: * Use the Platform for any illegal or unauthorized purpose. * Interfere with or disrupt the Platform or servers connected to the Platform. * Attempt to gain unauthorized access to the Platform or related
        systems.
      • Subscription is a customer subscribing to the SaaS and/or Extensions as well as accompanying Support Services under a Quote. Subscription Fees is the remuneration for the Subscription as specified in the given Quote. Subscription. Period is the contractual term detailed in each given Quote for which Customer is granted the rights. Support Services is the provision of support services and provision of Updates for Edgeiot.online Platform

    4. Data Privacy: 

      • www.edgeiot.online respects your privacy and handles user data in accordance with its Privacy Policy. Edgeiot.online is MQTT broker which means collectively the functionalities of Edgeiot.online software-as-a-service platform which transmits and exchanges data between various devices, which Customer subscribed to under the applicable Quote, as further described in the applicable Quote, and as updated from time to time.
      • You acknowledge that data transmitted through the Platform is your responsibility, and www.edgeiot.online is not liable for any data loss or corruption.
      • When visitors leave comments on the site, we collect the data shown in the comments form, and also the visitor’s IP address and browser user agent string to help spam detection. An anonymized string created from your email address (also called a hash) may be provided to the Edgeiot.online service to see if you are using it. After approval of your comment, your profile picture may be visible to the public in the context of your comment.
      • If you upload images to the website, you should avoid uploading images with embedded location data (EXIF GPS) included. Visitors to the website can download and extract any location data from images on the website.

      • The use of the Edgeiot.online Platform for the permitted use cases or any further license volume description detailed in the given Edgeiot.online Platform may be deployed and/or the maximum number of concurrent connections managed by Edgeiot.online Platform and/or the physical locations at which the Edgeiot.online Platform may be used.
      • If you request a password reset, your IP address will be included in the reset email.
      • Any data uploaded into or run through the Edgeiot.online Platform by or on behalf of customer or an authorized Affiliate, or generated through Customer’s, or an authorized affiliate’s, use of the Edgeiot.online Platform in accordance with this agreement, including any modifications to such data. Service generated data is not customer data.

    5 .Intellectual Property: 

      • The Platform and its content, including but not limited to software, trademarks, and logos, are owned by www.edgeiot.onle or its licensor, (including rights in audiovisual works), moral rights, patent rights (including patent applications and disclosures), know-how, rights of priority, trademark rights, and trade secret rights recognized in any country or jurisdiction in the world.
      • Customer use of the Platform does not grant him the ownership or any other rights to the Platform or its content.

    6. Limitation of Liability

      • To the maximum extent permitted by law, Edgeiot.online shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use of the Platform
      • Except for amounts due hereunder, liability arising from a party’s breach of its confidentiality obligations set forth in section “confidentiality”, use by customer of Edgeiot.online platform, in whole or in part, outside of the scope of the licenses granted herein, or a party’s gross negligence or willful misconduct, in no event shall either party’s aggregate liability arising out of or related to this agreement, whether in contract, tort or under any other theory of liability.
      • Except for actions for non-payment or breach of either Party’s intellectual property rights, no action (regardless of form) arising out of this Agreement may be commenced by either Party more than six months after the cause of action has accrued.

    7. Indemnification:

      • Customer agree to indemnify and hold harmless Edgeiot.online and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses arising out of your use of the Platform or violation of these terms and conditions.

    8. Termination:

      • Either Party may terminate this Agreement or a Quote for cause immediately by written notice upon the occurrence of any of the following events:
        • if the other Party ceases to do business, or otherwise terminates its business operations.
        • if the other Party is adjudicated as bankrupt, or if a petition in bankruptcy is filed against the other party and such petition is not discharged within sixty (60) days of such filing.
        • if Customer breaches (i) Section “Prevention of Unauthorized Access” or (ii) Section “Restrictions”.
        • if the other Party breaches any material provision of this Agreement and fails to fully cure such breach within thirty (30) days of written notice describing.
      • Termination shall not relieve Customer of the obligation to pay any Subscription Fees accrued or payable to Company prior to the effective date of termination. Upon termination or expiration of this Agreement and/or a Quote, the rights and licenses granted to Customer hereunder shall automatically terminate.
      • Customer shall not be entitled to any separation compensation or damages of any kind, including indemnification, compensation, reimbursement, or damages for loss of prospective compensation, goodwill or loss thereof, or expenditures, investments, leases, or any type of commitment made in connection with the business of such party or in reliance on the existence of this Agreement
      • Termination or expiration of this Agreement shall not relieve either party of any payment or other obligation under this Agreement which was to have been performed by such party prior to the termination. All provisions of this Agreement which by their nature are intended to survive the termination or expiration of this Agreement.

    9. Governing Law:

      • Customer is responsible for compliance with legal obligations, especially any regulatory and security requirements. Customer acknowledges and agrees that the Edgeiot.online platform and other technical data provided hereunder may be subject to restrictions and controls imposed by Saudi Arabia laws & regulations.
      • This Agreement will be governed by and construed in accordance with the laws of the Saudi Arabia without regard to conflicts of laws principles and specifically excluding the provisions of the United Nations Convention on the International Sale of Goods or the UCITA. Any legal action or proceeding with respect to this Agreement will be brought in the Saudi Arabia Court. By execution and delivery of this Agreement, each of the Parties hereto accepts for itself and in respect of its property, generally and unconditionally, the exclusive jurisdiction of the aforesaid courts.

    10. Changes to Terms:

      • Edgeiot.online reserves the right to modify these terms and conditions at any time. Changes will be effective upon posting on the Platform

    11. Modification & Services Update:

      • In order to maintain a progressive and modern product experience and/or in order to keep up with good industry standards regarding security, reliability or regulatory compliance, Edgeiot.online reserves the right to make reasonable updates to the Edgeiot.online platform from time to time. Such updates may relate to any features or functionality and/or the limitations of the Edgeiot.online platform. If Edgeiot.online makes a material change to Edgeiot.online platform will inform Customer reasonably in advance, this does not apply in cases where such changes are required in order to solve security issues or to address regulatory changes or changes of the law.

    12. Service Level Agreement (SLA):

      • During the term of Edgeiot.online Subscriptions, the SaaS Services booked by the Customer will be made available by Edgeiot.online with a Monthly Uptime Percentage as defined below the Service Level Agreement (SLA) for MQTT Broker.
        • Service Availability:
          • Uptime: The MQTT broker will be available for use at least 95% of the time during each calendar month.
          • Maintenance: Scheduled maintenance will be conducted during off-peak hours, with advance notification provided to customers.
          • Emergency Maintenance: In case of emergency maintenance, the broker will be restored to service as soon as possible.
        • Performance:
          • Message Delivery: Messages will be delivered within few milliseconds to several seconds of being published.
          • Throughput: The broker can handle from a few thousand messages per second to millions of messages per second
          • Latency: Average latency for message delivery will be range from a few milliseconds to several seconds.

     

    13. Security:

      • Authentication: The broker will require authentication to access, using Username and password.
      • Authorization: Access control will be implemented to restrict permissions based on user roles.
      • Data Encryption: Data in transit and at rest will be encrypted using AWS IoT Core provides built-in Transport Layer Security (TLS) encryption for all MQTT messages, ensuring secure communication between devices and the cloud.
      • Security Patches: The broker will be regularly updated with security patches to address vulnerabilities.

    14. Support:

      • Support Hours: Technical support will be available 24 hours on 7 days.
      • Response Time: Support requests will be responded to within three hours.
      • Support Channels: Support will be provided via email.

    15. Incident Management:

      • Incident Reporting: Customers must report incidents promptly to the provider.
      • Incident Resolution: The provider will work diligently to resolve incidents as quickly as possible.
      • Communication: Regular updates will be provided to customers during incident resolution.

    16. Service Credits:

      • Credit Eligibility: In the event of service disruptions that significantly impact the customer’s ability to use the broker, service credits may be issued.
      • Credit Calculation: Credits will be calculated based on the duration and severity of the disruption.
      • Credit Application: Credits will be applied to the customer’s next invoice.

    16. Indemnification:

      • Customer Indemnification: The customer agrees to indemnify the provider for any losses or damages arising from the customer’s misuse or unauthorized use of the broker.
      • Provider Indemnification: The provider agrees to indemnify the customer for any losses or damages arising from the provider’s negligence or breach of this SLA.

    17. Governing Law and Dispute Resolution:

      • Governing Law: This SLA shall be governed by the laws of Saudi Arabia jurisdiction and communication Commission of Saudi Arabia.
